Virtuo Services F.Z.C – Terms & Conditions

These Terms and Conditions (the “Terms”) govern your use of the website and services of Virtuo Services F.Z.C (“Virtuo Services,” “we,” “us,” or “our”). By accessing our website, submitting an enquiry, signing a proposal or service agreement, or making a payment to us, you (the “Client” or “you”) agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Our Services
Virtuo Services F.Z.C provides consultancy services in the United Arab Emirates, including but not limited to: company formation and licensing across mainland, free zone, and offshore jurisdictions; PRO and government liaison services; visa, Golden Visa, and immigration support; digital marketing services; and AI automation consultancy. The specific scope, deliverables, fees, and timelines for any engagement will be set out in a separate proposal, quotation, or service agreement (“Service Agreement”), which forms part of these Terms.
2. Eligibility and Client Obligations
By engaging our services, you confirm that:
- You are at least 18 years of age and have full legal capacity to enter into these Terms
- All information, documents, and representations you provide to us are true, accurate, and complete
- You will promptly provide any further documents or information reasonably requested by us or by the relevant government or free zone authority
- You are solely responsible for the legality and accuracy of the business activity, ownership structure, and supporting documentation you instruct us to submit on your behalf
3. Fees and Payment
- All fees for our services are as set out in the applicable Service Agreement, quotation, or invoice issued to you, and are exclusive of UAE VAT unless stated otherwise.
- Fees are payable in advance, or in instalments as specified in the Service Agreement, prior to us commencing or continuing work, and prior to submission of any application to a government or free zone authority.
- Where third-party government, free zone, immigration, or licensing fees form part of an engagement, these are payable in full by the Client and are subject to change by the relevant authority without notice; any increase will be passed on to the Client.
- Late or dishonoured payments (including dishonoured post-dated cheques) may result in suspension of services, and we reserve the right to pursue recovery of outstanding amounts through legal action in the UAE or any other relevant jurisdiction, including assigning the debt to a third-party collection agent.
4. Refund Policy
Payments made to Virtuo Services F.Z.C are non-refundable once an application, registration, or submission has been made to the relevant government, free zone, or licensing authority on the Client's behalf, regardless of whether: (a) the application is subsequently rejected, delayed, or amended by the relevant authority; (b) only partial payment has been received; or (c) the Client has not yet supplied all required documentation. Any refund requested prior to submission to an authority will be considered at our sole discretion and may be subject to deduction of administrative costs and work already performed.
5. Timelines
Any timelines communicated by Virtuo Services F.Z.C, whether in marketing materials, proposals, or correspondence, are estimates only. Processing times for licensing, visa, and immigration matters are ultimately determined by the relevant UAE government or free zone authority and are outside of our control. We will use reasonable efforts to keep you informed of progress but accept no liability for delays caused by third-party authorities, banks, or other external parties.
6. Client Documents and Authority
Where you engage us to act as your representative, agent, or PRO before any government or free zone authority, you authorise us to submit applications, sign standard forms where permitted, and liaise with such authorities strictly within the scope of the engagement. You remain the principal applicant or licensee of record and bear ultimate legal responsibility for the accuracy of submissions made in your name. We will retain copies of documents submitted on your behalf for our records, in accordance with our Privacy Policy.
7. Digital Marketing and AI Automation Services
Where services include digital marketing or AI automation work, deliverables, platforms used, reporting cadence, and performance expectations will be set out in the applicable Service Agreement. We do not guarantee specific business outcomes, rankings, lead volumes, or revenue results, as these depend on factors outside our control, including market conditions and third-party platform algorithms.
8. Limitation of Liability
To the fullest extent permitted by UAE law, Virtuo Services F.Z.C's total liability arising out of or in connection with any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential losses, including loss of profit, loss of business opportunity, or loss of data, nor for any decision, delay, rejection, fine, or penalty issued by a third-party government, free zone, banking, or licensing authority.
9. Confidentiality
We will treat all documents and information you provide as confidential and will only use or disclose them as necessary to deliver the engaged services, as set out in our Privacy Policy, or as required by UAE law.
10. Intellectual Property
All content on our website, including text, graphics, logos, and the "Virtuo Services" name and branding, is the property of Virtuo Services F.Z.C or its licensors and may not be copied, reproduced, or used without our prior written consent. Deliverables created specifically for the Client under a Service Agreement (such as marketing assets) shall be licensed or assigned to the Client only upon full and final payment, as specified in that Service Agreement.
11. Website Use
When using our website, you must not:
- Attempt to gain unauthorised access to our website, servers, or any connected systems
- Introduce viruses, malware, or other malicious code
- Conduct denial-of-service attacks or otherwise disrupt the availability of our website
- Use our website for any unlawful purpose or in a manner that infringes the rights of others
12. Termination
Either party may terminate an engagement in accordance with the terms set out in the applicable Service Agreement. Termination does not entitle the Client to a refund of fees already paid in respect of work performed or applications already submitted, as set out in Section 4.
13. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on our website with a revised "last updated" date and will apply to engagements entered into after that date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms or any Service Agreement shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, unless otherwise specified in a Service Agreement (for example, where a free zone's own arbitration or dispute resolution mechanism applies).
